These Terms & Conditions ("Terms") govern all services provided by Hollympus LLC ("we," "our," "us," or "Hollympus") to any client ("Client"). By engaging our services, you agree to these Terms.

1. DEFINITIONS

1.1 Deliverables: All final products and creative works produced by Hollympus, including but not limited to musical compositions, lyrics, orchestrations, scores, stems, sound designs, recordings, video productions, promotional assets, and any associated media files.

1.2 Project Agreement: A written document or correspondence (e.g., invoice, signed agreement, or project-confirmation email) that outlines the scope, pricing, timeline, licensing terms, and deliverables of a specific project. Project Agreements are legally binding.

1.3 Revisions: Any requested modification to previously submitted deliverables. Limited to two (2) rounds unless otherwise agreed in writing.

2. REVISIONS & CLIENT FEEDBACK

Clients are entitled to up to two (2) rounds of revisions for each project unless otherwise agreed. Additional revisions may incur extra charges and extend delivery timelines. Revisions must be requested within 5 business days of deliverable receipt; otherwise, the deliverable will be considered accepted.

3. INTELLECTUAL PROPERTY & LICENSING

3.1 Ownership: Hollympus retains full and exclusive ownership of all deliverables, including all underlying intellectual property rights, unless a written buyout or exclusive license agreement is signed.

3.2 License Type: By default, Clients receive a non-exclusive, non-transferable, non-sublicensable license to use the deliverables only for the purpose stated in the Project Agreement.

3.3 Licensing Upgrades: Clients may negotiate and purchase a full buyout or exclusive license. Such agreements must be explicitly documented and paid in full.

3.4 Prohibited Uses: Resale or sublicensing of deliverables; training AI models or machine learning systems; use in NFTs or blockchain applications; use in defamatory, illegal, misleading, violent, or sexually explicit content.

3.5 Publicity: Hollympus reserves the right to publicly display and use non-private deliverables for promotional purposes (e.g., website portfolio, social media) unless agreed otherwise in writing.

4. PAYMENT TERMS

4.1 Payment Schedule: Payment terms are defined in the Project Agreement. Unless otherwise agreed, 50% upfront is required to initiate a project, and the balance is due upon delivery.

4.2 Late Payments: Invoices not paid within 7 calendar days of due date are subject to a 1.5% monthly late fee (or the maximum allowed by law).

4.3 Final Delivery: Final high-resolution or unwatermarked deliverables will not be released until full payment is received.

5. CANCELLATION & TERMINATION

5.1 Client Cancellation: If a Client cancels a project after work has begun, the upfront payment is non-refundable. Additional work completed will be invoiced proportionally.

5.2 Hollympus Termination Rights: We reserve the right to suspend or terminate services if payment is not received on time, the Client engages in sabotage, slander, or reputational harm, deliverables are misused in breach of these Terms, or the project is deemed unethical or unlawful.

6. FORCE MAJEURE

Hollympus is not liable for delays or non-performance caused by events beyond our control, including but not limited to illness, equipment failure, natural disasters, internet or power outages, war, terrorism, or government restrictions.

7. CONFIDENTIALITY

All materials shared during a project are considered confidential and will not be disclosed to third parties without written consent, except as required by law.

8. LIABILITY LIMITATIONS

Hollympus shall not be liable for any indirect, incidental, consequential, or punitive damages. Our maximum liability for any claim shall not exceed the total amount paid by the Client under the applicable Project Agreement.

9. LEGAL CLAIMS

Any legal claim made in bad faith, for harassment, or without material merit may result in counterclaims and financial liability for damages and legal fees incurred by Hollympus.

10. GOVERNING LAW & JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA. All disputes shall be resolved in the courts located in New Castle County, Delaware.

11. DATA REQUESTS

Clients may request access to, correction of, or deletion of their personal data under applicable privacy laws. Requests must be submitted in writing to divine@hollympus.com.

12. COOKIES AND TRACKING

By accessing and using our website, you acknowledge and consent to the use of cookies and similar tracking technologies as outlined in our Cookie Preferences Center and Privacy Policy.

Hollympus LLC respects your privacy. This Privacy Policy explains how we collect, use, and protect your information in accordance with the Delaware Personal Data Privacy Act (DPDPA), California Consumer Privacy Act (CCPA/CPRA), and EU General Data Protection Regulation (GDPR).

1. INFORMATION WE COLLECT

1.1 Information You Provide: Name, email, phone number, billing address, media files (audio, lyrics, video, etc.), social media links, bios, promotional materials, messages and project notes.

1.2 Information We Automatically Collect: IP address, browser type, device data, site usage and traffic analytics (e.g., Google Analytics, TikTok Pixel).

We do not collect sensitive personal information such as health, biometric, or financial account data.

2. HOW WE USE YOUR INFORMATION

We use your data to provide services, process payments, communicate deliverables, improve site functionality, and fulfill legal obligations. We do not sell your personal data.

3. DATA RETENTION

Client files: 3 years after project completion; Billing & contracts: 7 years; Analytics data: Up to 26 months.

4. CHILDREN'S PRIVACY

We do not knowingly collect data from children under 13 without verified parental consent.

5. YOUR DATA RIGHTS

Depending on your jurisdiction, you may have the right to access, correct, delete, restrict, or object to processing of your personal data, and request a portable copy. To exercise these rights, email divine@hollympus.com.

6. LEGAL BASIS FOR PROCESSING (GDPR)

We process personal data under your consent, contractual necessity, legal obligation, or legitimate interest.

7. COOKIES & TRACKING TECHNOLOGIES

Hollympus uses strictly necessary, functionality, tracking, and targeting cookies. You can manage preferences via Cookie Preferences Center or browser settings.

8. DATA BREACH NOTIFICATION

If a data breach occurs, EU residents will be notified within 72 hours; California residents within 45 days.

9. THIRD-PARTY SERVICES

We use Stripe, Google Analytics, WeTransfer, and cloud platforms. These services are contractually obligated to follow relevant privacy laws.

10. INTERNATIONAL DATA TRANSFERS

If you are located outside the U.S., your data may be transferred to and processed in the United States under Standard Contractual Clauses (SCCs).

11. POLICY UPDATES

We may revise this Privacy Policy periodically. Continued use of our services implies acceptance of the revised policy.
